條款及細則


1. 轉讓權及風險

除非本公司另有書面約定,自產品交付予客戶或客戶指定之承運人/收貨地點起(以較早者為準),產品之滅失、損壞及其他一切風險即轉由客戶承擔。


2. 「即食食品(RTE)」之定義與責任

2.1 RTE 認定以本公司書面確認為準

除非本公司已以書面形式明確確認該產品屬「即食食品(Ready-to-Eat / RTE)」或可供直接食用,否則客戶不得僅依據原產國工廠、出口文件或當地法規/標準所述之「可食用」或「可直接食用」定義,作為在香港銷售、供應、陳列或標示為即食食品之依據。


2.2 香港法例及指引之合規責任

如客戶擬在香港以「即食食品(RTE)」形式銷售、供應、陳列、試食或作任何相關聲稱,客戶須自行確保全面符合香港所有適用法例及規例,包括但不限於《公眾衞生及市政條例》(第132章)(尤其第52及第54條)、《食物業規例》(第132X章)、《食物及藥物(成分組合及標籤)規例》(第132W章)及《食物安全條例》(第612章),並依照食物安全中心(CFS)及相關主管機關之指引(包括即食食品微生物指引)自行進行風險評估、管理及檢測(如適用)。


2.3 原產國文件僅供參考

任何原產國標示、工廠聲明、出口證明或當地批准僅供參考,並不構成本公司就該產品在香港作為即食食品之合規性、適用性或安全性之任何保證、承諾或陳述。


3. 果仁產品之「自然異物風險」與客戶責任

3.1 已知及已披露風險

客戶理解並同意:果仁及其製品在農作、採收、去殼、分級及包裝過程中,客觀上仍可能存在少量天然殘留物或碎片(例如:果仁殼碎片或硬質纖維)。此屬果仁供應鏈中可合理預見之已知及已披露風險,客戶確認已閱讀、理解並接受該風險。


3.2 合理篩查,非絕對保證

本公司所進行之篩查、分選或品質控制,僅屬商業上合理之努力,並不構成對「完全零殼碎/零天然碎片」之任何明示或默示保證、承諾或陳述。


3.3 客戶下游風險管理責任

客戶須就其自身供應鏈、再包裝、零售或餐飲用途,按其風險評估及法律責任,自行進行合理的篩查、抽檢及風險管理,包括制定操作程序及保存相關記錄(如適用)。


3.4 零售/即食銷售之提示責任

如客戶將果仁產品作零售、分裝或即食形式出售,客戶應按其銷售渠道及風險評估,在包裝或銷售標示中加入適當提示或警告字句(例如提醒消費者進食時注意硬物或殼碎),以降低消費者風險並符合其法規及消費者責任要求。


3.5 規格書優先(異物/殼碎指標)

如產品規格書就異物或殼碎另有指標或容許範圍,則以最新有效之規格書為準。


4. 產品規格書之優先性與覆蓋條款

4.1 規格書版本優先及自動覆蓋

客戶確認:產品之成分、處理方式、規格、容許偏差及異物容許範圍(如適用),一律以本公司就該批次或該交易最近期發出之產品規格書為準。每當本公司發出更新版本之規格書,新版本將自動覆蓋及取代所有先前版本(不論曾以電郵、附件、報價或其他形式提供),並作為該交易/該批次之最終及具約束力依據。


4.2 書面反對時限

如客戶對最新規格書內容有任何疑問,須於收到規格書後三(3)個工作天內或收貨前(以較早者為準)以書面提出;否則視作已理解並接受。


4.3 不得以已披露風險作為唯一索償依據

如非超出最新規格書已約定之標準或已證明屬本公司重大疏忽,客戶不得單憑上述已披露之天然異物風險作為拒收、退貨或索償之唯一依據。


5. 不設退款及條款修訂權

貨物一經交付,恕不退款。本公司保留隨時修訂、更新或更改本條款及細則之權利,而毋須另行通知。



TERMS & CONDITIONS


1. RISK TRANSFER

Unless otherwise expressly agreed in writing by the Company, all risks of loss, damage, or deterioration of the Products shall pass to the Customer upon delivery of the Products to the Customer or the Customer’s designated carrier or delivery location, whichever occurs first.


2. READY-TO-EAT (RTE) DEFINITION & RESPONSIBILITIES

2.1 RTE CLASSIFICATION SUBJECT TO WRITTEN CONFIRMATION

Unless the Company has expressly confirmed in writing that a Product is classified as Ready-to-Eat (RTE) or suitable for direct consumption, the Customer shall not rely solely on definitions, approvals, or standards of the country of origin, manufacturer, export documents, or local regulations to market, supply, display, or label the Product as RTE in Hong Kong.


2.2 COMPLIANCE WITH HONG KONG LAWS AND GUIDELINES

Where the Customer intends to sell, supply, display, offer tasting, or make any RTE-related claims in Hong Kong, the Customer shall be solely responsible for ensuring full compliance with all applicable Hong Kong laws and regulations, including but not limited to the Public Health and Municipal Services Ordinance (Cap. 132), Food Business Regulation (Cap. 132X), Food and Drugs (Composition and Labelling) Regulations (Cap. 132W), and the Food Safety Ordinance (Cap. 612), as well as all relevant guidelines issued by the Centre for Food Safety (CFS).


2.3 COUNTRY-OF-ORIGIN DOCUMENTS FOR REFERENCE ONLY

Any country-of-origin labelling, factory declarations, export certifications, or local approvals are provided for reference only and do not constitute any warranty, representation, or guarantee by the Company regarding RTE compliance, suitability, or safety under Hong Kong law.


3. NATURAL FOREIGN MATTER RISK IN NUT PRODUCTS

3.1 KNOWN AND DISCLOSED RISK

The Customer acknowledges and agrees that nut products may inherently contain small amounts of natural foreign matter, including shell fragments or hard fibres, arising from agricultural harvesting, shelling, grading, or packing processes. Such risk is foreseeable, disclosed, and accepted as part of the nut product supply chain.


3.2 REASONABLE SCREENING WITHOUT ABSOLUTE GUARANTEE

Any screening, sorting, or quality control measures undertaken by the Company represent commercially reasonable efforts only and do not constitute any express or implied warranty or guarantee of zero shell fragments or zero natural foreign matter.


3.3 CUSTOMER’S DOWNSTREAM RISK MANAGEMENT RESPONSIBILITY

The Customer remains responsible for conducting appropriate screening, sampling, and risk management within its own supply chain, including repacking, retail, or food service operations, in accordance with applicable laws and regulations.


3.4 CONSUMER ADVISORY AND WARNING OBLIGATIONS

Where nut products are sold in retail, repacked, or RTE formats, the Customer shall include appropriate consumer advisories or warnings on packaging or at point of sale to mitigate consumer risk and comply with regulatory and consumer protection requirements.


3.5 SPECIFICATION PREVAILS

Where foreign matter or shell fragment tolerances are specified in the Product Specification, the latest applicable Specification shall prevail.


4. PRODUCT SPECIFICATION PRIORITY

4.1 SPECIFICATION PRIORITY AND AUTOMATIC SUPERSESSION

All product composition, processing methods, specifications, tolerances, and foreign matter limits shall be governed by the latest Product Specification issued by the Company for the relevant batch or transaction. Any updated Product Specification shall automatically supersede and replace all prior versions, regardless of the format in which they were previously provided, and shall constitute the final and binding reference for such batch or transaction.


4.2 WRITTEN OBJECTION DEADLINE

Any objection to the Product Specification must be raised in writing within three (3) business days of receipt or prior to delivery, whichever occurs first. Failure to do so shall be deemed acceptance.


4.3 DISCLOSED RISK NOT SOLE BASIS FOR CLAIM

Unless it is proven that the Products materially exceed the agreed Specification or involve gross negligence by the Company, disclosed natural foreign matter risks shall not constitute the sole basis for rejection, return, or claim.


5. NO REFUND & RIGHT TO AMEND

All sales are final and non-refundable upon delivery. The Company reserves the right to amend, update, or modify these Terms & Conditions at any time without prior notice.
