條款及細則

1. 轉讓權及風險

除非本公司另有書面約定,自產品交付予客戶或客戶指定之承運人/收貨地點起(以較早者為準),產品之滅失、損壞及其他一切風險即轉由客戶承擔。

2. 「即食食品(RTE)」之定義與責任

2.1 RTE 認定以本公司書面確認為準

除非本公司已以書面形式明確確認有關產品屬「即食食品(Ready-to-Eat / RTE)」或適宜直接食用,否則本公司所提供之任何文件僅供參考。該等文件如載有原產國工廠之說明、出口文件,或原產地當地法例、規例或標準中所述之「可食用」或「可直接食用」定義,均不構成,亦不得被視為本公司授權或確認可據此於香港銷售、供應、陳列、推廣或標示該產品為即食食品之依據。

2.2 香港法例及指引之合規責任

如客戶擬在香港以「即食食品(RTE)」形式銷售、供應、陳列、試食或作任何相關聲稱,客戶須自行確保全面符合香港所有適用法例及規例,包括但不限於《公眾衞生及市政條例》(第132章)(尤其第52及第54條)、《食物業規例》(第132X章)、《食物及藥物(成分組合及標籤)規例》(第132W章)及《食物安全條例》(第612章),並依照食物安全中心(CFS)及相關主管機關之指引(包括即食食品微生物指引)自行進行風險評估、管理及檢測(如適用)。

2.2A 即食食品檢測之額外收費及時間安排

如客戶要求本公司安排、協助或配合根據香港法例、規例或相關指引就即食食品(RTE)進行任何檢測、化驗、驗證或相關程序,該等服務將另行收費,實際費用視乎檢測項目、範圍、實驗室要求及當時報價而定。客戶並須預留約兩個半星期,以便於出貨日前完成有關檢測、化驗、驗證或相關程序。

2.3 原產國文件僅供參考

任何原產國標示、工廠聲明、出口證明、測試報告或當地批准文件僅供參考,並不構成本公司就該產品在香港作為即食食品之合規性、適用性或安全性之任何保證、承諾、陳述或法律意見。

3. 果仁產品之「自然異物風險」與客戶責任

3.1 已知及已披露風險

客戶理解並同意:果仁及其製品在農作、採收、去殼、分級及包裝過程中,客觀上仍可能存在少量天然殘留物或碎片(例如:果仁殼碎片或硬質纖維)。此屬果仁供應鏈中可合理預見之已知及已披露風險,客戶確認已閱讀、理解並接受該風險。

3.2 合理篩查,非絕對保證

本公司所進行之篩查、分選或品質控制,僅屬商業上合理之努力,並不構成對「完全零殼碎/零天然碎片」之任何明示或默示保證、承諾或陳述。

3.3 客戶下游風險管理責任

客戶須就其自身供應鏈、再包裝、零售或餐飲用途,按其風險評估及法律責任,自行進行合理的篩查、抽檢及風險管理,包括制定操作程序及保存相關記錄(如適用)。

3.4 零售/即食銷售之提示責任

如客戶將果仁產品作零售、分裝或即食形式出售,客戶應按其銷售渠道及風險評估,在包裝或銷售標示中加入適當提示或警告字句(例如提醒消費者進食時注意硬物或殼碎),以降低消費者風險並符合其法規及消費者責任要求。

3.5 規格書優先(異物/殼碎指標)

如產品規格書就異物或殼碎另有指標或容許範圍,則以最新有效之規格書為準。

4. 產品規格書之優先性與覆蓋條款

4.1 規格書版本優先及自動覆蓋

客戶確認:產品之成分、處理方式、規格、容許偏差及異物容許範圍(如適用),一律以本公司就該批次或該交易最近期發出之產品規格書為準。每當本公司發出更新版本之規格書,新版本將自動覆蓋及取代所有先前版本(不論曾以電郵、附件、報價或其他形式提供),並作為該交易/該批次之最終及具約束力依據。

4.2 書面反對時限

如客戶對最新規格書內容有任何疑問,須於收到規格書後三(3)個工作天內或收貨前(以較早者為準)以書面提出;否則視作已理解並接受。

4.3 不得以已披露風險作為唯一索償依據

如非超出最新規格書已約定之標準或已證明屬本公司重大疏忽,客戶不得單憑上述已披露之天然異物風險作為拒收、退貨或索償之唯一依據。

5. 不設退款及條款修訂權

貨物一經交付,恕不退款。本公司保留隨時修訂、更新或更改本條款及細則之權利,而毋須另行通知。

6. 訂單請求及合約成立

6.1

客戶就貨物供應所提出之任何訂單需求,不論以正式採購訂單、電子通訊、口頭方式或其他形式提出,均視為客戶向本公司提出之購買要約,或最少構成要求本公司考慮供應貨物之正式請求。

6.2

當本公司確認可供應有關貨物、發出發票、訂單確認、送貨安排,或以任何其他形式表示接受該訂單需求時,即視為本公司已接受該要求,而客戶與本公司之間即構成具法律約束力之合約。

6.3

為免產生疑義,即使客戶未有發出正式採購訂單,只要客戶已提出供貨要求,而本公司已按上述方式接受該要求,有關交易仍構成有效、完整及具法律約束力之合約。


TERMS & CONDITIONS

1. Transfer of Title and Risk

Unless otherwise agreed by the Company in writing, all risk of loss, damage, or any other risk in relation to the products shall pass to the Customer upon delivery of the products to the Customer, the Customer’s designated carrier, or the designated place of receipt, whichever occurs first.

2. Definition of “Ready-to-Eat (RTE)” Products and Responsibility

2.1 RTE Status Subject to the Company’s Written Confirmation

Unless the Company has expressly confirmed in writing that the relevant product is a “Ready-to-Eat” (“RTE”) product or is suitable for direct consumption, any documents provided by the Company are for reference only. Any description contained in such documents, including statements by the factory in the country of origin, export documentation, or any definition of “edible” or “ready for consumption” under the laws, regulations, or standards of the place of origin, shall not constitute, and shall not be construed as, any authorization or confirmation by the Company that the product may, on such basis, be sold, supplied, displayed, promoted, or labelled in Hong Kong as a ready-to-eat product.

2.2 Compliance Responsibility under Hong Kong Laws and Guidelines

If the Customer intends to sell, supply, display, offer for tasting, or make any related claim in Hong Kong that a product is “Ready-to-Eat” (“RTE”), the Customer shall be solely responsible for ensuring full compliance with all applicable laws and regulations in Hong Kong, including but not limited to the Public Health and Municipal Services Ordinance (Cap. 132) (in particular sections 52 and 54), the Food Business Regulation (Cap. 132X), the Food and Drugs (Composition and Labelling) Regulations (Cap. 132W), and the Food Safety Ordinance (Cap. 612), and shall, in accordance with the guidelines of the Centre for Food Safety (CFS) and other relevant authorities (including microbiological guidelines for ready-to-eat food), conduct its own risk assessment, management, and testing where applicable.

2.2A Additional Charges and Lead Time for RTE Testing

If the Customer requires the Company to arrange, assist with, or facilitate any testing, examination, verification, or related procedures for ready-to-eat (“RTE”) products in accordance with Hong Kong laws, regulations, or applicable guidelines, such services shall be subject to additional charges. The actual fees shall depend on the testing items, scope, laboratory requirements, and the quotation applicable at the relevant time. The Customer shall also allow approximately two and a half weeks for such testing, examination, verification, or related procedures to be completed prior to the shipment date.

2.3 Country-of-Origin Documents for Reference Only

Any country-of-origin label, factory statement, export certificate, test report, or local approval document is for reference only and shall not constitute any warranty, undertaking, representation, or legal advice by the Company as to the compliance, suitability, or safety of the product as a ready-to-eat product in Hong Kong.

3. Natural Foreign Matter Risk in Nut Products and Customer Responsibility

3.1 Known and Disclosed Risk

The Customer understands and agrees that nut products and their derivatives may, by their nature and despite normal agricultural, harvesting, shelling, grading, and packing processes, still contain small amounts of natural residual matter or fragments (for example, shell fragments or hard fibres). This is a known and disclosed risk reasonably foreseeable within the nut supply chain, and the Customer confirms that it has read, understood, and accepted such risk.

3.2 Reasonable Screening but No Absolute Guarantee

Any screening, sorting, or quality control carried out by the Company constitutes commercially reasonable efforts only and shall not amount to any express or implied warranty, undertaking, or representation that the products are completely free from shell fragments or natural foreign matter.

3.3 Customer’s Responsibility for Downstream Risk Management

The Customer shall, in light of its own supply chain, repackaging, retail, or food service use, conduct its own reasonable screening, sampling inspection, and risk management according to its own risk assessment and legal obligations, including the establishment of operating procedures and maintenance of relevant records where applicable.

3.4 Warning / Notice Obligation for Retail or RTE Sales

Where the Customer sells the nut products at retail, in repacked form, or as ready-to-eat products, the Customer shall, having regard to its sales channels and risk assessment, include appropriate warnings or notices on the packaging or sales materials (for example, reminding consumers to take care when consuming products that may contain hard matter or shell fragments), so as to reduce consumer risk and comply with its regulatory and consumer responsibility obligations.

3.5 Specifications Prevail (Foreign Matter / Shell Fragment Standards)

If the product specification sheet contains any separate standards or tolerance limits in relation to foreign matter or shell fragments, the latest valid specification sheet shall prevail.

4. Priority and Overriding Effect of Product Specifications

4.1 Latest Specification Sheet Prevails and Automatically Supersedes

The Customer acknowledges that the ingredients, processing method, specifications, tolerances, and permissible foreign matter limits (if applicable) of the products shall be governed exclusively by the latest product specification sheet issued by the Company for the relevant batch or transaction. Whenever the Company issues an updated version of the specification sheet, such updated version shall automatically supersede and replace all previous versions, whether previously supplied by email, attachment, quotation, or otherwise, and shall constitute the final and binding basis for the relevant transaction and / or batch.

4.2 Time Limit for Written Objection

If the Customer has any question or objection in relation to the latest specification sheet, the Customer must raise the same in writing within three (3) business days of receipt of the specification sheet or before delivery of the goods, whichever is earlier; failing which, the Customer shall be deemed to have understood and accepted the same.

4.3 Disclosed Natural Risk Not Sole Basis for Rejection or Claim

Unless the products exceed the agreed standards set out in the latest specification sheet or unless the Customer proves gross negligence on the part of the Company, the Customer shall not rely solely on the above disclosed natural foreign matter risk as the sole basis for rejection, return, or claim.

5. No Refund and Right to Amend

Once the goods have been delivered, no refund shall be made. The Company reserves the right to revise, update, or amend these Terms and Conditions at any time without prior notice.

6. Order Requests and Contract Formation

6.1

Any request made by the Customer for the supply of goods, whether by formal purchase order, electronic communication, verbal confirmation, or any other means, shall be regarded as an offer to purchase the goods, or at the very least a formal request for the Company to consider supplying such goods.

6.2

Upon the Company confirming the availability of the goods, issuing an invoice, order confirmation, delivery arrangement, or otherwise indicating acceptance of such request in any manner, the Company shall be deemed to have accepted such request, and a legally binding contract shall thereupon be formed between the Customer and the Company.

6.3

For the avoidance of doubt, the absence of a formal purchase order shall not invalidate or prejudice the formation of a valid, complete, and binding contract where the Customer has requested the supply of goods and the Company has accepted such request in the manner described above.
